Welcome to TOTEC Solutions Ltd. (“TOTEC Solutions,” “we,” “us,” or “our”). These Website Terms of Use (the “Terms”) govern your use of our websites (including www.totec-solutions.com) (collectively, the “Website”). Each time you use the Website you signify your acceptance and agreement, and the acceptance and agreement of any person you represent, to be bound by these Terms as may be updated from time to time, and you represent and warrant that you have the legal authority to agree to and accept these Terms on behalf of yourself and any person you purport to represent. 1.    Changes to Terms

1.1  TOTEC Solutions may, in its sole discretion, revise, modify, change, supplement or amend these Terms as it relates to your future use of the Website from time to time, for any reason, and without any prior notice or liability to you or any other person. You may not change, supplement, or amend these Terms in any manner.

2.    Permitted Use and Prohibited Use

2.1  Subject to your compliance with these Terms, the Website is made available to you for your lawful, personal, non-commercial use only. You may print or download Website pages for your personal, non-commercial use provided that you do not modify any of the Website pages or other content and you do not remove or alter any visible or non-visible identification, marks, notices, or disclaimers. 3.2 TOTEC Solutions™ is a trademark owned by TOTEC Solutions Ltd. Other product and company names and logos appearing on the Website (such as TC Energy) may be the registered or unregistered tradenames or trademarks of their respective owners. Any use of the tradenames or trademarks and logos displayed on the Website (collectively the "Marks"), except as expressly provided in these Terms, is strictly prohibited. Nothing appearing on the Website will be construed as granting any license or right to use any Marks, or any endorsement of a Mark, by TOTEC Solutions.

6. Termination

6.3 If TOTEC Solutions terminates these Terms or your permission to use the Website for any reason, or you stop using the Website then: (a) these Terms will continue to apply and be binding on you for your prior use of the Website; and (b) TOTEC Solutions may continue to use and disclose your personal information in accordance with its Privacy Policy. Sections 4, 5, 6, 7, 8, and 9 survive indefinitely after the termination of these Terms.

7. Governing Law and Disputes

7.1 These Terms are governed by, and construed in accordance with, the laws of the Province of Alberta, and the federal laws of Canada applicable in the Province of Alberta, without giving effect to any choice or conflict of law provision, principle or rule (whether of the Province of Alberta or any other jurisdiction).

7.2 Any dispute between TOTEC Solutions and you or any other person arising from, connected with or relating to the Website, these Terms or any related matters must be resolved before the Courts of the Province of Alberta sitting in the City of Calgary, and you hereby irrevocably submit and attorn to the original and exclusive jurisdiction of those Courts in respect of any such dispute or matter.

7.3 Any claim or cause of action you may have arising from, connected with, or relating to your use of the Website, these Terms, or any related matters must be commenced in a court of competent jurisdiction in the Province of Alberta within six (6) months after the claim or cause of action arises, after which time the claim or cause of action is forever barred.

8. Disclaimers and Liability Exclusion

8.1 The Website is for convenience and informational purposes only. The Website is not intended to be a comprehensive or detailed statement concerning the matters addressed or any other kind of advice, or an offer to sell or buy any service.

9. General Terms

9.1 These Terms constitute the entire agreement between you and TOTEC Solutions relating to your use of the Website, and supersede all previous agreements, written, oral or otherwise, between you and TOTEC Solutions with respect to your use of the Website.

9.2 If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision will be deemed to be severed from the rest of these Terms and will not affect the validity and enforceability of any remaining provisions.

9.3 The provisions of these Terms will enure to the benefit of and be binding on each of TOTEC Solutions and its successors and assigns and related persons, and you and your heirs, executors, administrators, successors, permitted assigns, and personal representatives. You may not assign these Terms or your rights and obligations under these Terms without the express prior written consent of TOTEC Solutions. TOTEC Solutions may assign these Terms and its rights and obligations under these Terms without your consent.

9.4 A waiver of any of the provisions of these Terms is only effective if expressly set out in writing and signed by the party granting the waiver. No waiver operates or will be construed as a waiver of any failure, breach or default that is not expressly identified by such written waiver. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms operates or will be construed as a waiver thereof. No single or partial exercise of any right or remedy under this Agreement precludes any other or further exercise of the right or remedy, or the exercise of any other right or remedy.
